Sir, I have 2 following questions. Request you to kindly answer, if possible.
1. A promoter of a listed Company wants to execute a SPA with an outsider and Outsider is giving Public Announcement for Open Offer under SEBI (SAST) and all these happening during Trading window closure period. Question is, is it a violation to SEBI (PIT) Regulations and Code?
2. Whether Public announcement (PA) for open offer can be made on Sunday as per SEBI (SAST)?
The promoter is bound to inform the company regarding the SPA . Further , trading window is deemed to be closed from the date of announcement of Board Meeting held to approve Mergers, de-mergers, takeovers, acquisitions, buy-back, delisting, disposals and expansion of business and such other transactions; Even though, an outsider is making public announcement , it has to be made on a working day and not during the closure of trading window.
